1. About Us

NewCo Data ("we", "us", "our") is a trading name operated under the laws of England and Wales. Our registered email address is hello@newcodata.co.uk. Our website is newcodata.co.uk.

2. Definitions

• “Service” means the NewCo Data platform, NewCo Websites, NewCo Domains, email reports, CSV downloads, API access, and all related features provided through newcodata.co.uk.
• “Subscriber” means any individual or organisation that registers for a paid subscription plan or purchases a one-off product.
• “Data Product” means the daily company incorporation reports, CSV downloads, and API access.
• “Website Product” means the website design, build, and hosting services provided under the NewCo Websites brand.
• “Domain Product” means the domain registration, email setup, and DNS configuration services provided under the NewCo Domains brand.
• “Data” means company incorporation information sourced from Companies House and enriched by our systems.
• “Free Trial” means the initial 7-day period during which no charges are applied (Data Product only).

3. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Service. We may update these terms at any time; continued use after changes constitutes acceptance.

4. Service Description

NewCo Data (Data Product): Daily reports of newly incorporated UK companies, sourced from Companies House public data. Reports include company names, registration numbers, director names, registered addresses, SIC codes, and where available, website URLs, email addresses, and telephone numbers. Data is delivered via email and downloadable CSV files.

We aim to deliver reports before 9am each business day (Monday to Saturday), but this is not guaranteed. Occasional delays may occur due to data source availability or system maintenance.

NewCo Websites (Website Product): Professional website design and build services for newly incorporated businesses. Websites are built to a chosen template or custom specification and include 12 months of hosting. Delivery is typically within 48 hours of receiving a completed brief form.

NewCo Domains (Domain Product): Domain name registration, professional email setup, and DNS configuration services. Domain registration is completed through third-party registrars on your behalf. Email forwarding and DNS records are configured as part of the service.

5. Subscriptions, One-Off Purchases, and Billing

Data subscriptions:

• All Data subscription plans include a 7-day free trial. Your payment card will be collected at sign-up but will not be charged during the trial period.
• After the trial, your subscription will automatically renew at the applicable rate (monthly or annual) unless cancelled before the trial ends.
• Prices are listed in pounds sterling (GBP) and are inclusive of VAT where applicable.
• Monthly plans renew every calendar month. Annual plans renew every 12 months.

Website and Domain purchases:

• Website and Domain services are one-off payments. There are no recurring charges except for optional annual renewals (website hosting at £49/yr, domain registration at the prevailing registrar rate).
• Website hosting is included for 12 months from the date of purchase. We will notify you before renewal.
• Domain registration periods are typically 12 months and subject to the registrar’s terms.

All payments are processed securely by Stripe. We do not store your card details.

6. Cancellation and Refunds

Data subscriptions:

• You may cancel your subscription at any time by emailing hello@newcodata.co.uk.
• If you cancel during the 7-day free trial, you will not be charged.
• Once your free trial ends and payment is taken, all subscription charges are non-refundable. You will retain access to the Service until the end of your current billing period (monthly or annual), but no refunds or partial refunds will be issued.
• We encourage all users to make full use of the 7-day free trial to evaluate the Service before committing to a paid subscription.

Website and Domain purchases:

• All website and domain purchases are non-refundable once work has commenced (i.e. once you have submitted your brief form or we have begun domain registration).
• If you contact us before work begins, we will issue a full refund.
• If you are dissatisfied with a website build, we will work with you through the included revision rounds to address your concerns. Additional revisions beyond those included in your plan may incur a charge.
• Website hosting renewals (£49/yr) may be cancelled at any time. If cancelled, your site will be taken offline at the end of the paid hosting period. We can export your site files upon request.

7. Consumer Rights

If you are a consumer (as defined under the Consumer Rights Act 2015), you have statutory rights that are not affected by these terms. By starting your free trial and providing payment details, you acknowledge that the digital content service will begin during the trial period. Once payment is taken after the trial, you consent to the immediate supply of digital content and acknowledge that this constitutes a waiver of the 14-day cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

8. Data Accuracy and Sources

Our data is sourced from Companies House, a UK government body. While we make reasonable efforts to ensure accuracy and completeness, we do not guarantee that all data is error-free, complete, or up to date.

Contact information (emails, phone numbers, websites) is obtained through automated enrichment processes and may not always be accurate or current. You should verify contact details independently before relying on them for business decisions.

We are not responsible for any decisions made or actions taken based on the data provided.

9. Acceptable Use

You agree not to:

• Resell, redistribute, or sublicence the data without our written consent.
• Use the data for unlawful purposes, including but not limited to spam, harassment, or fraud.
• Scrape, crawl, or programmatically extract data from our website beyond any API access provided by your plan.
• Attempt to gain unauthorised access to our systems or infrastructure.
• Use the data in breach of the UK General Data Protection Regulation (UK GDPR) or the Data Protection Act 2018.

10. Data Protection and Privacy

We process personal data in accordance with the UK GDPR and the Data Protection Act 2018. Company incorporation data published by Companies House is public record data. Contact information obtained through enrichment is processed under our legitimate interest in providing a business intelligence service.

For subscriber personal data (your name, email, payment details):

• We collect only what is necessary to provide the Service.
• Payment processing is handled by Stripe; we do not store card details.
• We will not sell or share your personal data with third parties for marketing purposes.
• You have the right to access, rectify, or delete your personal data by contacting us at hello@newcodata.co.uk.

11. Intellectual Property

The NewCo Data brand, website design, software, and proprietary enrichment algorithms are our intellectual property. Companies House data itself is Crown Copyright and made available under the Open Government Licence v3.0.

You may use the data we provide for your own internal business purposes. You may not reproduce, distribute, or create derivative products from our reports for commercial resale without our written permission.

12. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability to you for any claim arising from or related to the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• We are not liable for any loss arising from inaccurate or incomplete data.
• Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

13. Service Availability

We aim to provide the Service on a continuous basis but do not guarantee uninterrupted access. We may suspend or modify the Service for maintenance, upgrades, or circumstances beyond our reasonable control. We will endeavour to provide notice of planned downtime where practical.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, government actions, power failures, internet disruptions, or failures of third-party data providers (including Companies House).

15. Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also bring proceedings in the courts of your country of residence.

16. Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and NewCo Data. Any previous agreements, representations, or understandings are superseded.

17. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
